Tanentros Terms of Service

Version 2026-09-28. Effective from the day it is published.

1. Parties and acceptance

1.1 These terms are between NBAI LLC, a Wyoming limited liability company, 75 E 3rd St, Sheridan, WY 82801, USA ("Tanentros", "we") and the company that opens a workspace (the "Customer"). The person who signs up gives a company name and acts for that company.

1.2 Acceptance is recorded at sign-up: the person ticks the box "I accept the Terms of Service and the Privacy Policy", and we store the time and the version accepted. A President plan is sold on a separate signed contract that supplements these terms and prevails where it differs.

1.3 The price list published at tanentros.com/pricing and, for data-processing matters, our Data Processing Agreement (available on request) form part of these terms. In a conflict: a signed President contract prevails over these terms; these terms prevail over the price list; on data-processing matters the Data Processing Agreement prevails over these terms.

2. Definitions

3. Accounts and users

3.1 Sign-up requires a real mailbox (disposable domains are refused), e-mail verification and Telegram verification. Admins enrol two-factor authentication with an authenticator app at their first sign-in.

3.2 Admin and accountant seat accounts are provisioned through our console; the person then sets a password through the sign-in link. Landlord portal accounts are created by the Customer's admins. Telegram members join through single-use links the admins create, valid for 15 minutes.

3.3 The Customer is responsible for its users, for keeping credentials confidential and for every action taken in its workspace. Admins can reveal a landlord's portal password through an audited path; the Customer is responsible for how that is used.

3.4 The Customer must not defeat the platform's account protections: login lockout, session limits, two-factor authentication.

3.5 A deactivated seat is logged out at once and refused at sign-in.

4. Workspace Data and privacy

4.1 The Customer owns Workspace Data and decides what it collects. It must have the right to enter the data of guests, landlords and employees and to show landlords what it chooses through the visibility settings.

4.2 We process Workspace Data only to provide the service, as described in the Privacy Policy and the Data Processing Agreement.

4.3 We may open a support session on the workspace; admins can see open and past sessions, and every access is audited.

4.4 The Customer's logo and banner are served from a public bucket reachable by anyone who has the address; by uploading them the Customer accepts this.

4.5 OTA calendar feeds: the Customer supplies its own feed addresses and we fetch them on a schedule. The Customer must be entitled to use those feeds. Our outbound feed is readable by anyone who holds its address and carries no guest data.

4.6 Telegram bots: the Customer supplies its own bot token from Telegram; we keep it in an encrypted vault, never echo it back, and register the webhook. The Customer's bot is the Customer's bot: Telegram's terms for bots apply to the Customer, and the Customer answers for how its bot is used.

5. Plans, doors and features

5.1 Door limits are maxima; any Customer may buy any plan. The platform refuses doors above the cap unless the door-extension add-on applies.

5.2 Features follow the plan; locked features are shown as locked in the admin dashboard.

5.3 Landlord surfaces never show plan machinery.

6. Fees and billing

6.1 Prices, seat and add-on rates, upgrade fees and discounts are those on the price list at tanentros.com/pricing on the day of the charge.

6.2 Card rail: charged through Stripe's hosted checkout. Subscriptions renew each month or each year until cancelled.

6.3 Prepaid rail: bank transfer or crypto, minimum six months, to an address we give per request; the discounts are those on the price list.

6.4 Annual billing equals eleven monthly payments. Switching a monthly plan to yearly charges the yearly rate at once and starts the yearly term when the current cycle ends. Switching a yearly plan back to monthly takes effect at the end of the paid year, as a downgrade does; a paid year is not shortened.

6.5 A mid-cycle upgrade charges the difference for the remaining days plus the upgrade fee on the price list, at once; a downgrade takes effect at the next period.

6.6 Seats are charged at once for the current period and never prorated, at half price when added in the last ten days of the cycle, and become part of the regular cycle after that.

6.7 Add-ons are quoted by the platform at purchase; recurring add-ons on monthly plans join the next cycle.

6.8 Invoices are e-mailed as PDF.

6.9 Taxes: prices are exclusive of tax. Any tax, duty, charge or withholding that the Customer's own country imposes on a payment to us is the Customer's responsibility and is added on top of the price, never deducted from it.

6.10 Refunds: paid periods are not refunded. Cancellation stops the next renewal. A goodwill refund is at our discretion and is never a right.

6.11 Chargebacks: the moment a chargeback lands, the workspace locks; the balance stays due and the workspace reopens when it is paid. A second chargeback ends the contract.

7. Failed payments, grace and lock

7.1 A failed charge triggers an immediate e-mail and Telegram notice with a pay-now link.

7.2 Grace before lock: 24 hours on Elder, 48 hours on Chief, 72 hours on Governor and Titan. After grace the workspace is locked; retries continue for seven days and a successful charge unlocks it automatically.

7.3 Two failed months in a rolling year move the workspace to prepaid-only billing.

7.4 A locked workspace shows its admins the lock notice and the way to pay; its users cannot work in it until it is unlocked. Nothing is deleted by a lock.

8. Free plan, standby, cancellation and archive

8.1 Keeper (free) has no card channel. Moving to Keeper cancels the paid plan at the end of the paid period; the workspace stays active on Keeper.

8.2 Standby: once per account, an admin on a paid plan may park the workspace; access stops, all data is kept; reactivation within 30 days (Elder), 45 days (Chief) or 60 days (Governor and above), on the same or a higher plan.

8.3 A subscription that ends falls to Keeper for one cycle; then the workspace is archived. A payment reopens an archived workspace within the reopen window (the plan's standby days, counted from the archive date); after it, by contacting us.

8.4 Records older than 12 months are archived (hidden, restorable) after 12 paid months plus three months' grace, unless extended storage or an annual plan applies.

8.5 An archived workspace follows the retention clock in the Privacy Policy: 166 days after archiving the admins are offered an export; 180 days after archiving the personal fields are replaced by placeholders and the originals sealed; the sealed copy is destroyed twelve months later. Financial records are never altered. An open dispute or balance holds the clock.

8.6 Cancellation by the Customer: self-serve in the dashboard, by queuing a downgrade to Keeper. It takes effect at the end of the paid period. There is no notice period and no refund.

9. Suspension and termination by us

9.1 We may hide or block a workspace for non-payment, a breach of clause 10, a legal order, fraud or abuse, or a real risk to the platform. A hide requires a recorded reason and denies all user access at the database level and at sign-in.

9.2 The support thread between us and the admins keeps working while a workspace is hidden; it is the dispute channel.

9.3 On termination, data follows clause 8 and the Data Processing Agreement.

10. Acceptable use

The Customer must not: use the service for unlawful purposes; enter data it has no right to process; share logins; probe, attack or overload the service; read or attempt to read other workspaces; exceed plan limits by technical means; use its bot to contact people who did not start it; copy, resell or sublicense the service; scrape it or access it by automated means other than the features we provide; reverse-engineer it; upload malware; or impersonate another person or company.

11. Third-party services

Stripe (payments), Telegram (bots), Resend (e-mail), OTA platforms (feeds) and our other vendors have their own terms; we are not responsible for their availability. Exchange rates come from the European Central Bank through Frankfurter, from Wise for currencies the ECB does not publish, with a fixed fallback for the Cambodian riel; the rate used at entry is locked on the record. Rates are indicative and are not financial advice.

12. Availability, support and changes

12.1 Support by plan: community (Keeper), e-mail (Elder, Chief), priority support (Governor), a direct line and an onboarding call (Titan). Any response time we publish is a target, not a promise.

12.2 We give no uptime commitment and no service credits. Titan's direct line is a priority support channel, not a guarantee.

12.3 We may change features and plans at any time. A price change is announced 30 days ahead and applies from the Customer's next renewal.

12.4 Announcements are posted in the app.

13. Intellectual property and branding

13.1 The platform, its code and its design are ours. The Customer keeps its brand assets and its Workspace Data.

13.2 Co-branding: on Keeper and Elder, Tanentros branding appears on landlord-facing surfaces; Governor combines the Customer's identity with a Tanentros signature; Titan shows the Customer's brand with minimal Tanentros branding.

13.3 Feedback: we may use any suggestion or feedback the Customer gives us, without restriction and without owing anything for it.

14. Warranties, liability and indemnity

14.1 The service is provided as it is and as available. We make no warranty that it is error-free or uninterrupted, and no warranty beyond what these terms state.

14.2 Our total liability to the Customer for any claim connected with the service is limited to the fees the Customer actually paid us in the twelve months before the claim arose.

14.3 We are not liable for indirect or consequential loss, including lost profit, lost bookings or lost data, nor for data the Customer's own users enter, nor for money between the Customer and its landlords or guests: the platform records settlements only; no money moves through it.

14.4 The Customer indemnifies us against claims arising from Workspace Data, from its users' acts, or from its breach of these terms.

14.5 Nothing in these terms limits a liability that the applicable law does not allow to be limited.

15. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, USA. Disputes are decided by the state or federal courts located in Wyoming, unless we agree with the Customer in writing to arbitration in Wyoming instead.

16. Changes to these terms

We announce changed terms at least 30 days ahead, in the app and by e-mail to the workspace's admins. Continued use after the effective date is acceptance; a sign-up records the version accepted. A Customer who does not accept the change may cancel under clause 8.6.
